Terms of Service

1. Acceptance of These Terms

These Terms of Service (the "Terms") govern your access to and use of Snowflake Studios (the "Service"), including our website, dashboard, APIs, and any related Discord-connected applications and automations (collectively, the "Bot"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

If you use the Service on behalf of an organization (including as a Discord server owner or operator), you represent and warrant that you have authority to bind that organization to these Terms.

2. Eligibility (Age Requirements)

You must be at least 13 years old to use the Service (consistent with Discord's minimum age requirement). If you are under the age of majority where you live, you may use the Service only with permission of a parent or legal guardian who agrees to these Terms on your behalf.

3. The Service and Your Responsibilities

Snowflake Studios is a premium, studio-grade Discord management SaaS that may provide, among other features, moderation workflows, embed building, product catalog tools, economy systems, and advanced server telemetry. You are responsible for how you configure and operate the Service in your Discord servers and communities, including compliance with applicable laws, platform rules, and community standards.

Server owners and designated administrators remain solely responsible for their communities, including server content, member conduct, moderation decisions, and any outcomes resulting from use of automation or analytics.

4. Acceptable Use

You agree not to misuse the Service or help anyone else do so. Without limiting the foregoing, you agree that you will not:

• Use the Service to violate Discord's Terms of Service, Community Guidelines, or Developer Policies.
• Abuse, probe, scan, or attempt to disrupt our APIs, infrastructure, rate limits, or security controls.
• Reverse engineer, decompile, or attempt to extract source code or non-public APIs except where prohibited by law.
• Use the Service for unlawful, harmful, fraudulent, or abusive activities, including harassment or hate.
• Attempt to access accounts, servers, or data without authorization or beyond the permissions you were granted.
• Interfere with or degrade the Service, including via automated requests that exceed reasonable use.

We may monitor usage for abuse prevention, reliability, and security. We may suspend or restrict access to protect the Service, our users, or third parties.

5. Subscriptions, Billing, and Payments

Certain features require a paid subscription. Prices, plan features, and billing intervals will be displayed at purchase and may change from time to time. Unless otherwise stated, subscriptions automatically renew at the end of each billing cycle until canceled.

Payments are processed by our payment processor (for example, Stripe). We do not store full payment card details. You authorize us (and our payment processor) to charge your selected payment method for applicable recurring fees, taxes, and other charges you incur in connection with the Service.

You are responsible for maintaining accurate billing information. If your payment fails, we may suspend or downgrade your access until payment is received.

6. Cancellation and Refunds

You may cancel your subscription at any time, effective at the end of your then-current billing period, unless otherwise required by law. Except where required by applicable law, all fees are non-refundable, and we do not provide refunds or credits for partial billing periods, unused features, or unused time.

If you initiate a chargeback or reverse a payment without first contacting us to resolve the issue, we may suspend or terminate your access, subject to applicable law.

7. Intellectual Property

We and our licensors retain all rights, title, and interest in and to the Service, including its software, designs, and content (excluding content you provide). You receive a limited, non-exclusive, non-transferable right to access and use the Service in accordance with these Terms.

8. Third-Party Services (Including Discord)

The Service integrates with third-party platforms (including Discord). Your use of those platforms is governed by their terms and policies, and we are not responsible for third-party services, outages, policy enforcement, or changes that impact integrations.

9. Termination and Suspension

We may suspend or terminate your access to the Service at any time if we reasonably believe you have violated these Terms, created risk or potential legal exposure, harmed other users or third parties, or attempted to bypass security or usage limits. You may stop using the Service at any time.

Upon termination, your right to access the Service ends. Certain provisions of these Terms will survive termination, including intellectual property, disclaimers, limitation of liability, and indemnification.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not guarantee that the Service will be uninterrupted, error-free, or secure.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SNOWFLAKE STUDIOS AND ITS AFFILIATES, OWNERS, EMPLOYEES, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SERVICE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID TO US FOR THE SERVICE DURING THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR USD $100 IF YOU HAVE NOT PAID US ANY AMOUNTS, WHICHEVER IS GREATER.

You acknowledge that Snowflake Studios provides management tools and automations; Discord server owners and operators remain responsible for their servers and communities, including moderation actions, economy configuration, and compliance obligations.

12. Indemnification

To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless Snowflake Studios and its affiliates, owners, employees, and service providers from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your Discord server operations, or your violation of these Terms.

13. Changes to These Terms

We may update these Terms from time to time. If changes are material, we will take reasonable steps to provide notice (for example, by posting an update on this page or through the dashboard). Your continued use of the Service after the effective date of an update constitutes acceptance of the updated Terms.
